Terms of Service

1. Acceptance

These Terms of Service (the "Terms") are a legally binding agreement between you and LAN Ventures E.A.S. ("LAN Brain", "we", "us"), a simplified stock corporation incorporated in the Republic of Paraguay, RUC 80141770-8. By creating an account, accessing, or using LAN Brain (the "Service") you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and our Refund Policy, both of which are incorporated by reference. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" refers to that entity and everyone acting on its behalf.

2. Description of the Service

LAN Brain builds and operates a company brain: a hosted, structured knowledge base that connects to your work applications (email, calendar, storage, messaging, task managers, and others), organizes your information, remembers your context, and serves it back to you and to the AI tools you authorize. The Service includes the hosted platform, the build and ingestion work we perform for you, and access for your AI clients through open protocols such as MCP. Specific commercial terms depend on the plan or proposal you contract.

The Service uses artificial intelligence to process and organize information. AI technology evolves and can produce results that are incomplete or inaccurate, or that do not faithfully reflect real events, people, or facts. The Service does not provide legal, financial, tax, medical, or other professional advice, and AI-generated output should be verified before you rely on it for important decisions.

3. Eligibility

You must be 18 years or older to use the Service. By using it you represent that you meet this requirement, that you have not previously been suspended or removed from the Service, and that your use complies with applicable law.

4. Account and credentials

You must provide accurate and complete information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us without delay at info@lanbrain.ai of any unauthorized use or any situation in which your account may no longer be secure.

5. Connection to third-party services

The Service integrates with third-party platforms (for example Google Workspace, Microsoft 365, Slack, Notion, and others) through your explicit authorization. You can revoke each connection at any time. You are responsible for compliance with the terms of each third-party platform you connect. Third-party services are outside our control and we are not responsible for interruptions, changes, or actions of those external services.

The Service may include open-source software components licensed under their own terms. Nothing in these Terms restricts the rights those licenses grant you over the components themselves.

6. Payment, subscriptions, and renewals

Plans with public pricing are paid at the start of the corresponding period. Custom plans and corporate engagements are governed by the signed proposal. You authorize us and our payment processors to charge the payment method you provide for the amounts of the plan you select, including applicable taxes.

Subscriptions renew automatically for successive periods unless you cancel before the renewal date. Cancellation stops future charges; access continues until the end of the period already paid. Prices may change with at least 30 days' prior notice for active subscriptions. Failure to pay enables suspension or termination of the Service after notice. Refunds and cancellations are governed by our Refund Policy.

7. Your content

The Service processes content you provide or connect: documents, messages, transcripts, files, and any other material you upload or authorize us to ingest ("Your Content"). Your Content remains yours. You grant us a limited, non-exclusive, revocable license to host, store, index, process, and display Your Content solely to provide, secure, and improve the Service for you. This license ends when the content is deleted under our retention rules.

You are responsible for having the rights and, where required, the consents needed for the content you provide. If you ingest material that involves other people, such as meeting transcripts, recordings, or message history, you are responsible for complying with the notice and consent requirements of applicable law before providing it to the Service.

8. License and restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service, including the brain built for you, its seed structure, prompts, methodology, and skill packages, for your internal business or personal use within your contracted scope. Sharing your brain's MCP endpoint with collaborators within your allowed scope is permitted.

Except as expressly authorized, you may not: resell, redistribute, repackage, or share the seed contents or methodology with third parties; copy, modify, or create derivative works of the Service; interfere with or circumvent security or access-control mechanisms; decompile, disassemble, or reverse engineer the Service; access the Service to build a competing product using our confidential materials; or use the Service or its outputs to train large language models or similar systems outside your own brain without our written permission.

9. Feedback

If you send us feedback, ideas, or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you. Feedback never includes Your Content, which stays governed by section 7.

10. Acceptable use

You agree not to use the Service to:

· Carry out illegal activities or violate applicable law or regulation.

· Infringe intellectual property, privacy, or other rights of third parties.

· Send spam, malware, or harmful content, or spread deliberately false or misleading information.

· Harass, threaten, or harm any person.

· Impersonate any person or entity, or access another account without permission.

· Extract data at scale, probe, or scan the Service without authorization.

· Interfere with the operation of the Service or with other customers' use of it.

· Attempt, assist, or permit any of the above.

11. Intellectual property

LAN Brain, its software, visual interfaces, brand, content, and methodology are the property of LAN Ventures E.A.S. and its licensors, and are protected by intellectual property law. Except for the licenses expressly granted in these Terms, we reserve all rights. Your information remains yours.

12. Intellectual property complaints

We respect the intellectual property rights of others. If you believe material on the Service infringes your rights, write to info@lanbrain.ai with the subject "IP complaint", identifying the material, your rights over it, and how to contact you. We will review and act on valid complaints, including removing infringing material and, where appropriate, suspending repeat infringers.

13. Confidentiality

Each party will protect the other's confidential information with the same care it uses to protect its own, and at minimum with reasonable care. This obligation survives termination of these Terms.

14. Communications

By creating an account you agree to receive transactional and operational communications from us at the email address you provide (for example onboarding, billing, security, and service notices). We may also send you commercial communications about the Service; you can opt out of those at any time using the unsubscribe link or by writing to info@lanbrain.ai. Operational messages continue while your account exists.

15. Disclaimers and no warranties

The Service and all related materials are provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate or complete. You are responsible for reviewing output before relying on it.

16. Limitation of liability

To the maximum extent permitted by applicable law, LAN Ventures E.A.S. will not be liable for indirect, incidental, special, consequential, or punitive damages, nor for loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim will not exceed the amounts paid by you in the 12 months prior to the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including mandatory consumer-protection rules.

17. Indemnification

You agree to indemnify and hold harmless LAN Ventures E.A.S. from third-party claims arising from your use of the Service in violation of these Terms or applicable law, including claims arising from content you provided without sufficient rights or consents.

18. Termination

You may terminate your subscription at any time from your account settings or by request via email. We may suspend or terminate the Service if you breach these Terms. Upon termination your license ends and access to the Service ceases. Deletion of your data after termination is governed by the retention and deletion rules of our Privacy Policy. Following termination, we retain the right to keep minimal records as required by law or for accounting purposes, and payment obligations accrued before termination survive.

19. Modifications

We may update these Terms. We will publish the current version on this page and, for material changes, notify you with at least 15 days' advance notice. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

20. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Paraguay. Any dispute will be submitted to the courts of the city of Asunción, unless applicable law provides otherwise. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
